Kathmandu. Guardian Micro Life Insurance has called for its second annual general meeting.
The company’s board of directors has called for the general meeting on Chaitra 11. The meeting will begin at 11 am at Hotel Airport in Biratnagar.
The meeting will open the door to mergers with other insurance companies. If it is necessary to merge, merge or acquire any other insurance company, the meeting will approve a special resolution giving full authority to the board of directors to proceed with the entire process in this regard.
The meeting will also pass another special resolution giving authority to the board of directors to act in this regard if the regulatory body directs the company to increase its authorized capital, issued capital and paid-up capital. The meeting will approve a special resolution to amend the company’s articles of association and memorandum of association.
The meeting will approve the annual and auditor’s reports for the last fiscal year 2080.81 and will also approve the proposal regarding the appointment of the auditor and determination of his remuneration for the current fiscal year 2081.82. The meeting will elect two directors from the general public.
The meeting will approve the meeting allowance, daily travel allowance and other service facilities and expenses incurred under social responsibility of the directors.
The company has decided to close its books on Falgun 26 for the purpose of the annual general meeting. Only shareholders who are in possession of shares before Falgun 26 will be eligible to participate in the meeting of the company.
