Kathmandu. The 32nd Annual General Meeting (AGM) of Nepal SBI Bank was held at Tribhuvan Army Officers’ Club, Bhadrakali, Kathmandu. The AGM approved the Annual Financial Statement (Statement of Balance Sheet (Ashad Sheet, Profit or Loss Account, Statement of Cash Flow for the FY 2081/82) along with the Directors’ Report and Auditor’s Report for the FY 2081/82.
The AGM also approved the consolidated financial statement of the bank’s subsidiary “Nepal SBI Merchant Banking Limited” for the fiscal year 2081/82 (FY 2081/82).
The AGM has decided to distribute 4 percent bonus shares and 5 percent cash dividend to its shareholders.
The AGM also approved the appointment of M/s PKF TR for auditing the bank in the financial year 2082/83. Upadhyay & Co., Chartered Accountants has been appointed as the auditor and their remuneration has been fixed. The meeting also endorsed amendment proposals to various Clauses of the Memorandum of Association of the Bank.
The AGM unanimously elected Apsara Upreti as the board of directors representing the general shareholders’ group.
The AGM also approved the proposal to delegate authority to the Board of Directors to carry out necessary works regarding the merger and acquisition of other appropriate banks and financial institutions on behalf of the bank.
The Assembly also endors÷ed and approved other resolutions submitted to the House as per the resolutions. KATHMANDU: Nepal SBI Bank Limited (NSBL) has conducted more than 32 CSR programs across all provinces on the occasion of its 32nd Annual General Meeting.
