Citizens Bank Announces Annual General Meeting

Kathmandu. Citizens Bank has called its 19th Annual General Meeting (AGM).

The meeting of the Board of Directors of the bank has decided to hold the AGM on November 26. The assembly will begin at 11:00 am at Anupam Foodland and Banquet in Battisputali, Kathmandu.

The meeting held the last fiscal year 2081. The company will approve a total dividend of 5.263 percent of the current paid-up capital proposed for the company. This includes 5 percent bonus shares and 0.263 percent cash dividend for tax purposes.

The meeting will also endorse a special proposal to amend the Memorandum of Association as the issued and paid-up capital will increase after the distribution of bonus shares. The meeting shall approve a special resolution authorizing the Board of Directors to modify the suggestions received from the regulatory bodies while amending the Memorandum of Association.

The AGM will elect 1 director representing promoter group and 3 directors representing general public. The meeting will approve the annual report and the auditor’s report of the previous fiscal year.

The same assembly elected the current fiscal year 2082. 83. The resolution for the appointment of the auditor and the determination of his remuneration shall be approved.

The bank has decided to close its book on November 3 for the purpose of dividend and meeting. This means that shareholders who have remained in power as of November 30 will be eligible to attend the AGM and receive dividends.
