Kathmandu. The 25th annual general meeting of Bhagawati Hydropower Development Company is going to be held on October 18. The meeting will be held at 11:00 am at Avya Club, Gharipatan, Pokhara. The meeting of the Board of Directors of the company held on September 26 fixed the date of the meeting.
The meeting shall discuss and approve the annual report of the fiscal year 2081/2082 to be submitted by the Chairman on behalf of the Board of Directors. The financial statements including balance sheet, profit or loss account, and cash flow along with audit report of 082 are discussed and approved.
The fiscal year 2082. Appointment of Auditor for FY 2083 and determination of his remuneration, Company FY 208 1. The bank will also agree to distribute 6% cash dividend from the net profit earned in 2082 BS and 6% cash dividend along with tax levied on bonus shares.
The AGM will endorse a special proposal to increase the issued capital of the company to Rs. 67,82,39,900, a special proposal of Section 6 (b) of the company’s Memorandum of Association pursuant to the special proposal No. 1 and distribute 14% bonus shares to the shareholders.
The meeting will amend Rule 27 (2) of the Company Regulations and appoint a seven-member Board of Directors consisting of six directors including one woman and one independent director.
The meeting will amend Rule 31 of the Company Regulations and pass a special resolution regarding the appointment of six directors including a woman from the shareholders and the appointment of an independent director, and amend Rule 28 of the Company Regulations regarding the minimum number of shares required to be a director of the company and require any shareholder to hold 100 units of shares in his/her name ।
The meeting shall pass a resolution authorizing the Board of Directors to make any further amendment or language amendment or change in any subject by the regulatory body or office on the amendment made in the Memorandum of Association and Regulations.
