Kathmandu. United Idi Mardi & RB Hydropower has called its 15th Annual General Meeting.
The company’s board of directors has decided to hold the annual general meeting on Chaitra 11. The meeting will begin at 11 am at Gharipatan, Pokhara-17, Kaski.
The meeting will approve a total dividend of 4.211 percent of the current paid-up capital for the fiscal year 2080.81. Which includes 4 percent bonus shares and 0.211 cash dividend for tax purposes.
The assembly will pass a special resolution to increase the company’s capital by issuing 100 percent right shares in the ratio of 1:1 of the paid-up capital remaining after the issue of bonus shares. For this, it will amend the memorandum of association and articles of association and approve another special resolution to authorize the board of directors to take necessary actions with regulatory bodies such as the Electricity Regulatory Commission, Nepal Securities Board, Nepal Stock Exchange, and the Office of the Registrar of Companies.
The assembly will approve the annual and auditor’s reports for the previous fiscal year and approve the proposal regarding the appointment of the auditor for the current fiscal year and the determination of his remuneration. The meeting will elect directors as provided in the Articles of Association.
The company has decided to close its books from Falgun 23 for the purpose of dividend and annual general meeting. This means that only shareholders who held the company before Falgun 23 will be eligible to receive dividends and participate in the meeting.
