Kathmandu. Swabhiman Laghubitta Bittiya Sanstha has called for its eighth annual general meeting.
The board of directors of the organization has decided to organize the annual general meeting on Baisakh 19. The meeting will begin at 11 am at the organization’s central office in Tilottama, Rupandehi.
The meeting will approve a total dividend of 5.2632 percent of the proposed paid-up capital for the last fiscal year 2080.81. This includes 5 percent bonus shares and 0.2532 percent cash dividend for tax purposes.
The meeting will pass a special resolution to amend the charter and regulations of the organization as the paid-up capital of the organization will increase after the distribution of bonus shares. The meeting will also approve another special resolution to grant the board of directors full authority to amend the memorandum of association and regulations, if necessary, if there are any necessary instructions from the regulatory bodies.
The meeting will pass the annual and auditor’s reports for the previous fiscal year and approve the proposal regarding the appointment of the auditor for the current fiscal year and the determination of his remuneration.
The meeting will also pass the proposal to nominate the vacant director position.
The organization has decided to close the books on April 11 for the purpose of dividends and the annual general meeting. This means that only shareholders who have held the shares until April 10 will be eligible to participate in the annual general meeting of the organization and receive dividends.
