Kathmandu. The Shangri-La Development Bank has called its 21st Annual General Meeting.
The meeting of the Board of Directors of the bank has decided to hold the AGM on December 7. The meeting will begin at 10:30 am at Amritbhog Caterers in Kalikasthan, Kathmandu.
The meeting held the last fiscal year 2081. The company will approve a total dividend of 10.3583 percent of the current paid-up capital proposed for the company. This includes 5 percent bonus shares and 5.3583 percent cash dividend for tax purposes.
The meeting will endorse a special proposal to amend the Regulations and Memorandum of Association accordingly as the issued and paid-up capital will increase after the distribution of bonus shares. The meeting will also endorse a proposal to increase the amount of money to be received by the directors for various expenses.
The AGM shall pass a special resolution authorizing the Board of Directors to carry out all the works accordingly, if it deems appropriate to proceed with the process of merger, merger and acquisition of other appropriate banks and financial institutions.
The meeting approved the annual and auditor’s report of the last fiscal year and the current fiscal year 2082. 83. The meeting shall approve the proposal relating to the appointment of the auditor and the determination of his/her remuneration.
The bank has decided to close the book from December 9 to December 23 for the purpose of dividend and AGM. This means that only the shareholders who have been held before December 23 will be eligible to receive the dividend and attend the meeting.
