NMB Laghubitta’s 12th Annual General Meeting today

According to Section 111 of the Companies Act, 2063 and Section 63 of the Banks and Financial Institutions Act, 2073, the meeting was formed. V. A special resolution will be passed regarding the appointment of auditors and fixation of their remuneration for the audit of 2081/082, section 6 (e) of the management regarding changing the share ownership of the founder s to 51 percent and section 6 (f) of the management regarding changing the share ownership of the general public to 49 percent and 31 (a) of the rules related to the number of directors to be elected under the founder group. ।

The Meeting shall pass a special resolution regarding the constitution, number and tenure of the Board of Directors to amend Rule 27 (2) of the Rules of the Institution, to merge this financial institution with other ‘D’ category microfinance institutions licensed by the Nepal Rastra Bank or to form a committee for that purpose, to appoint the assessor and fix his remuneration, to sign an agreement for merger or acquisition, etc. It will pass a proposal to grant authority to the board of directors or the office-bearers appointed by the committee.

The Assembly shall pass a resolution authorising the office-bearers appointed by the Board of Directors or the Committee to carry out any amendment, modification or modification by the regulatory body regarding the amendment made in the Management Letter and Regulations of the Financial Institution.
