Kathmandu. NLG Insurance Company has convened its 19th Annual General Meeting ( AGM).
A meeting of the board of directors of the company held on Friday decided to hold its annual general meeting on June 14. The meeting will begin at 11:00 am at Amrapali Banquet in Baluwatar, Kathmandu.
Assembly for fiscal year 2080. It will approve a total dividend of 2.63 per cent of the proposed paid-up capital of Rs 2.50 billion. Of this, 2.5 percent is a bonus share of Rs 62,566,450 and a cash dividend of Rs 3,292,971 for tax purposes of 0.13 percent.
The meeting will also pass a special proposal to amend the management letter and regulations accordingly as the paid-up capital of the company will reach Rs 2.56 billion after the distribution of bonus shares. The Meeting will also approve another special proposal authorising the Board of Directors to make any changes in the company’s management letter and regulations if the regulatory body suggests to make any changes accordingly.
The assembly will pass the annual and auditor’s report of the last fiscal year. The assembly will approve the proposal regarding the appointment of auditors and determination of their remuneration for the current fiscal year.
The meeting will approve the meeting allowance of the Board of Directors and the appointment of independent directors nominated by the Board of Directors.
The company has decided to close the book on June 15 for the purpose of general assembly and dividend. This means that only the shareholders who have been in office till June 15 will be eligible to receive dividends and participate in the meeting.
