Kathmandu. The 10th Annual General Meeting (AGM) of Nadep Laghubitta Financial Institution Limited has concluded today. The meeting was held at Triple Crown Resort in Dhading.
The meeting passed the report after discussing the annual report for the fiscal year 2080/81 to be submitted by the chairman on behalf of the board of directors. The meeting also discussed and approved the annual financial report prepared under the Nepal Financial Report (NFRS) and the annual financial report prepared under the Nepal Financial Reporting (NFRS).
The meeting also passed a resolution to appoint auditors for the fiscal year 2081/82 BS as per the recommendation of the audit committee of the financial institution and determine their remuneration. The meeting passed a resolution to discuss and pass the share structure change as per the provisions contained in Nepal Rastra Bank Directive 10/081 (13).
The meeting also approved the transfer of the central office of this financial institution to Tharke Bazaar in Dhunibeshi Ward No. 6 of Dhading district, to sign a Memorandum of Understanding (MoU) for the merger or acquisition of this financial institution, to appoint an evaluator of property liability and transactions and to determine his remuneration and to complete all other procedures.
The Assembly has passed various resolutions, including delegating powers to the Board of Directors to make necessary amendments and modifications in the company’s management letter and regulations subject to the prevailing laws, if there is any suggestion or direction from the regulatory body on the proposal mentioned above.
