Nepal Rastra Bank (NRB) has restricted the purchase of promoter shares of banks and financial institutions. <\/p>\n<p>The central bank has amended the integrated directive issued in the name of banks and financial institutions and has made strict provisions on the purchase of promoter shares. According to the new policy, the bank has to collect the details of the real owner or beneficiary of the promoter shares while purchasing or transferring the promoter shares in such a way that the total paid-up capital of the bank or financial institution will be 5 percent or more than Rs 2.5 million. <\/p>\n<p>The banks and financial institutions will also have to submit the details to the Nepal Rastra Bank. Here are the details: <\/p>\n<ul>\n<li> Self-declaration of compliance with the standards under the prevailing law relating to the business, <\/li>\n<li>Name, surname, address, family details, details of the real owner and beneficiary of the concerned person, <\/li>\n<p>}<\/p>\n<li> Self-declaration whether or not involved in any crime in Nepal or abroad. If attached, a detailed description thereof and its current status, <\/li>\n<li> Self-declaration of whether or not any kind of case is in the process of case, investigation, alternative dispute resolution process or judicial or administrative action. Details, if any, <\/li>\n<p>{<\/p>\n<li> Payment as per the judgment or order of the court or competent authority, revenue to be paid, self-declaration of outstanding government dues, <\/li>\n<li> Self-declaration whether or not to be blacklisted for loans at home or abroad, <\/li>\n<li> Details of whether or not a conflict of interest exists, <\/li>\n<li> Self-declaration of whether or not a Nepali citizen owns any property outside Nepal or whether he or she is the real owner or beneficiary of any property, <\/li>\n<li> Details of work experience in the relevant field, including past work, organization, responsibilities received, awards, punishment status, examples of work success, etc., <\/li>\n<li>Statement of Financial Soundness. <\/li>\n<\/ul>\n<p>Similarly, if the shareholder is an institution, the central bank should also collect the details of the actual owner or beneficiary who has invested 15 percent or more shares or capital directly or indirectly in the investor institution. <\/p>\n<p>At the time of issuance of this directive, the details of the actual owner or beneficiary holding shares of more than 5 percent or more than Rs 2.5 million should be obtained and submitted to the Rastra Bank. Even if the details change, the updated details will have to be obtained and submitted to the Rastra Bank. <\/p>\n<p>These provisions were not included in the previous directive.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Kathmandu.
