Kathmandu. Guardian Micro Life Insurance has called its third Annual General Meeting (AGM).
The meeting of the Board of Directors of the company held on Sunday decided to hold the AGM on December 28. The meeting will begin at 11:00 am at Hotel Airport in Biratnagar, Morang.
The AGM will endorse a special proposal to issue 1:1 right shares out of the existing paid-up capital of Rs 750 million. The meeting shall also endorse another special proposal authorizing the Board of Directors to proceed with the process accordingly, if directed or deemed necessary, to increase the authorized and issued and paid-up capital.
The meeting shall endorse the proposal to amend the Memorandum of Association and Articles of Association of the company. The meeting shall also approve a proposal for the appointment (election) of one director to be represented by the ordinary shareholders.
The meeting held the last fiscal year 2081. Approval of the annual and auditor’s report of the current fiscal year 2082. 83. Approve the proposal regarding the appointment of the auditor and the determination of his/her remuneration.
The company has decided to close the book on December 29 for the purpose of the meeting. This means that only shareholders who have been held before December 29 will be eligible to participate in the AMALGAM.
